Running an in-house raffle/sweepstakes - How do we do this on our own?

Wanting to offer a contest for customers who purchase from us. Seemed simple at first.. buy a course from us and you are entered and prize will be drawn x/y/zzzz. In looking over contest rules with facebook, youtube, etc..it's rather vague. In looking at legal websites, they seem to imply that the Government is going to tell me how to run my business and not let me give things away to paying customers? Is that correct?

I just want to run an in-house contest, just for paying local customers. I don't need anyone else involved, not the govt., nothing...how do I go about this? We want to offer an Iphone X as the prize.

I've seen sites that flat-out disagree with one another..some say you manage the contest, you set the rules, don't have to award unless min. number of participants, etc. while some say no way to all of that. Very confusing.

I live in California. What is the loophole here so I can run a sweepstakes/contest/raffle as an incentive for people to purchase from us?

Hello!

Hey everyone! My name is Paul Cusa and I run an office building in Monmouth County, NJ. I took over this family business about three years ago and have been doing pretty well since but recently found out that I will be losing one of my largest tenants later this year. To prepare for this setback, I am looking for new ways to both bring my business into the future (some things are a bit dated around here) and also to attract new tenants. I came to this forum looking to connect with other small business owners and entrepreneurs in order to try and gain any insights I can into ways to accomplish these goals. I am most interested in learning what I can do to make my office Suites rental building stand out from the many others and also to appeal more to people looking to rent spaces. Since this forum is full of small business owners and entrepreneurs (my main consumers) I figured it was the perfect place to start! So, my questions for all of you reading this are...

When shopping around for office space, where do you look? Websites? Papers? Radio? Billboards?
What things have/ would draw you to a certain space/ building?
Have you even seen a space and thought you had to have it? If so, what attracted you to it?
How important is the community of your office building to you? example: How important is making friends/ connections at work?
Can you think for any unique things that an office Suites manager could do to attract new tenants?

I ask these questions because I have been entertaining the idea of organizing office happy hours/ holiday parties, setting up a break room complete with couches and television (and possibly even a small pool table), etc and would like to know how important these additions would be to the consumer (tenants).

If you have ANY insights at all, positive or negative, I would love to hear them!

Paying dividends to myself

Background

S-Corp, filing 1120S
Paying myself a wage and dividends from net profit.
Never been a C-corp, so no P&E or AAA concerns.
Doing taxes myself via TaxCut.

Two related questions:
1) Where are the dividends reported on the 1120S?
The software led me to put it on Sched K, line 17c.

But on closer inspection, That is for "accumulated earnings and profits" which I thought didn't apply to me.

Lacking that, I don't see anywhere else to put it.

2) The dividends from Line 17c are to be reported on a 1099-DIV.
TaxCut doesn't generate one of those that I can see.

When I go to input that data into my personal taxes, it asks what kind of distribution this is.
Dividends are normally taxable, but in this case they are previously taxed. How do I enter the 1099 info so they are not taxed again?
The instructions say to just read it from the 1099, but of course I don't have one.

H&R Block says they don't answer business tax questions, only personal. ??!??

My question is what information would you like to receive a price? Something that can "push" you to order the service if the price is right?

The workflow process? Another customer review? Some kind of guarantee? Maybe some statistic how website increasing the trust of potential customers?

Small business needs help with Subcontracting vs Employee vs Referral Network

Hi everybody!
I am the sole prop of a successful window cleaning business in California. I have an abundance of extra work. I have only one employee, myself. My wife helps with phone calls and admin part time. Currently when I have too much work to handle I hire other sole prop window cleaning owners to subcontract. I would like to hire employees, but after running the numbers I cannot afford to pay a decent wage and stay in business.

I have reviewed EDD's form DE 38, Employment Determination Guide, and my answers leaned towards subcontracting. The answers were as follows:
Questions 1-3: No, No, Yes
Questions 4-6: Yes, Yes, Yes
Questions 7-13: Yes, No, No, No, No, No, No

Before I send in a DE 1870, Determination of Employment Work Status, I would like to get some advice on if I can subcontract work lawfully under this arrangement.

Some of these facts may lend weight to approving subcontracting:
Clients are told up front when they schedule that we represent a network of great window cleaning companies, and which one will be dispatched.
Subcontractors carry their own insurance and are licensed.
Subcontractors wear their own companies t-shirt or uniform.
Payment is made directly to the subcontractor from the client.
A referral fee or percentage is then paid to me by the subcontractor at the end of the week or bi-monthly.

Essentially, I am acting as a referral service. Which brings up another question: Would it be better overall to setup a referral service type entity separately? Then that company refers work out to my company (myself), and other subcontractors or window cleaners within my "network"?

I've been watching Angies List, HomeAdvisor, and others set themselves up as a referral service. I'd like to do the same, only model the business to focus on what I know best: window cleaning. I have been hyper aware of the best window cleaners available in my part of California. I'd love to expand and find only the best window cleaners in the entire state and refer them to willing clients.

S Corp 2253 Filing Issue

Hi all,

New to the forum here, been looking around and seems like a lot of sharp people with tax knowledge so wanted to ask what they should do in this situation..

I have a sole member LLC that I just treated as a pass through entity the past few years. I just filed 2253 to elect to be taxed as an S corp for 2018 via Fax midnight 03/14/2018, so they should have received it 03/15/2018 which is the last day I could send it for the election to be valid for this upcoming 2018 year.

Since it takes up to 60 days to hear back if it was accepted or not, that puts me @ May 15 which is after the due dates (April 30) of the first quarter's state (Maryland) unemployment tax/wage reporting and federal Form 941 submission. I have to register an account for unemployment with the state to do this and begin paying myself a salary with distributions now if it takes effect 2018.

What am I supposed to do in this situation? Assume I am taxed as a disregarded entity and then when its accepted just file for quarters 2, 3, 4? Pay late fees and file quarter 1 as though I was an s corp all along since Jan 1 2018? Lean forward now assuming I am an s corp, but if the IRS does not accept, that seems like a huge problem since I would have filed these 1st quarter forms and paid myself a salary by the time I hear back..?

I may be missing an important detail which is why I am confused, but this situation must be common since I technically filed before the deadline but wont hear back in time for 1st quarter tax due dates.

Selling at shows versus media advertising - seeking opinions

I've done a few B2C shows and expos now and I'm seeing a track record that they are rarely profitable. You can't make back what you spent on the booth fee in the large ones, so if there's any ROI it's just in building your mailing list and PR/branding (getting in front of eyeballs). That's making me wonder if it might be the same ROI to spend that amount of money on media advertising.

For example, this one show I've done two years in a row, I sell enough to make back only 75% of what I paid to be there. Say the cost all in was $2000, and I only sell $1500. Would it be just as effective in terms of PR/marketing to spend $500 on a print ad campaign? I know that nobody can tell me the answer for sure, but I'm just looking for opinions or experiences if anyone has done this.

The reason I ask is I'm evaluating the monetary loss of these events compared to the intangible marketing/newsletter list building. It seems to me that with no measurable sales that I can tie directly back to the ad campaign, I'd still be out the $500 same as if I'd done a show. Thoughts?

Franchise territory dispute

Hi, i found a great location to expand my franchise holdings that is located in a gray area between my current franchise and another franchise owned by someone else. Nobody has territory rights in this gray area.

I am being told by my franchisor that they want the other franchisee to develop the great spot I found because they have more stores and more experience. The franchisor is giving all my research about the great spot to the other franchisee without my permission.

Do I have any legal rights in this situation?

buying business from employer. looking for ballpark business buyout value

looking to buy a business i currently work for. 2 employees being me the shop tech, and the owner being the field tech. i currently make %50 labor in house shop commission as a 1099. If I buy the business I will take all the shop labor and shop parts expenses, rent, etc. The owner will branch off taking the field clients which I only service repairs taken to the shop. Im not concerned about him starting somewhere else and taking all the clients. Any business relationships will remain mostly the same as he will bring all work in to me in the furture besides software and network configurations he currently does.

Attached are the income and expense sheets i was given. The anomalies of jul and sept were eyeball figured out of the written data below which is what i would be taking over. As far as concrete data the shop takes in about 60k credit transactions for the past 3 years. He said cash would be 10-15k additional which makes sense. in house checks im not sure , but probably rather low. It could be true as there is a lot of payments mailed in I don't see , but I dont really see it making up the 115k gross total as in the report below written in pencil.

I get the shop inventory which is probably sub 5k. rent is about 375 mo. I currently take home about 27k a year.

In my eyes I will take on expenses, but effectively double my salary immediately strictly via labor, not to mention part sales, and its going to be the most turn key operation possible as nothing will really change.

We have not hired a broker to determine any values. I plan to pay him a flat price outright. He says he is being very fair, but obviously people overvalue their business. What would be some reasonable asking prices for this business. 10k, 50k, 100k, 200k? Or how many years should it take in additional revenue to pay off the investment.

Are preparations that are sold and delivered to customers' homes subject to a declaration of composition?

Let's take fictional examples:

1 / I make a paint. It is understood that this paint is made only with authorized products and therefore it is not more dangerous than all the other paintings of the trade.

a- I sell it in pots in the shops. It is obvious that the package must indicate the composition. Perhaps the admistration must receive the composition in advance. This is not the question. I only talk about it to get to the following case:

b- I apply it myself this paint on the walls at my client's. Is this client entitled to ask me his composition? Should one declare previously his composition to the administration?

2 / I make a fruit juice. It is understood that obviously there is nothing harmful in it.

a- I put it in bottles. This drink is sold in retail stores. It is obvious that the package must indicate the composition.

b- I sell it in glasses and with a straw in the street in a truck bar, or I deliver it in glasses and with a straw to people's homes. Is this client entitled to ask me its composition? (eg: sugar level, amount of preservative and nature of the dye). Should the composition be declared to the administration?


You will understand that the interest of this question is to know if one can keep the secret of the composition as to avoid to be copied.
In my opinion, it is not necessary to give the composition when selling directly to a customer, from person to person. However, I would like to find legislation that speaks about it.
Does anyone here master this subject?
It is very likely that the law that determines the labeling rules defines what should be labeled and what must be mentioned on the labels. Therefore, In contrast to these obligations, I will be able to demonstrate to someone that there is no obligation in the opposite case.
I ask this question so that I can respond immediately to a client, or to a police officer or public servant who is alleged to be abusing his authority.
