Looking to Start a Sushi Restaurant?

Hey guys,



My uncle and I are looking to start a sushi restaurant in central Texas. My uncle has been a sushi chef for the past 20 years, and has spent the bulk of his trade working in Las Vegas. He has about $50,000 from mainly his savings and a loan from a friend. Basically, I need to come up with another $50,000 to help kick-start this business and getting this kind of loan is extremely difficult. I'm currently in graduate school with accumulated debt and my credit score is around 690. My only form of collateral is my 2013 Toyota Camry SE (have only paid off about half) and I'm pretty sure that isn't enough. Do you guys have any tips on how I can acquire the funds? My uncle is an incredible chef and his all-you-can-eat sushi roll theme (borrowed from vegas) at an affordable price could be an extremely lucrative business.




How to deal with currency exchange?

Im Canadian and the exchange rate right now is one USD = 1.25 CAD. How does one deal with the currency exchange when buying materials that are from USA. Is it unusual for Canadian companies to keep USD dollars or forward interest agreements?




Is this a realistic scenario when approaching investors?

Is getting 100% investor funding to buy a business and operate it with 100% investor funds a realistic goal? I would like to purchase a business but do not have the LEVEL of funds to buy it. I figured I can turn to investors to fund the acquisition and operation while I run the business. I understand that this will leave me with a lower stake in the company's revenue, but is this a realistic scenario to begin with?




Taxes and S-Corp with no profit and single employee

Last year I formed an S-Corp (software) but I am still the only employee. Since there is zero profit I understood I don't need to pay myself "reasonable salary".



Do I need to file anything tax related in this situation?

Ok, confused here, help!

Ok, recently I filed all my paperwork for my fictitious name and LLC documents with the state (PA). They did cash both of my checks but sent both forms back with a letter stating to make some corrections and send them back.



The form for thee LLC is easy enough, I have to strikeout one line and send it back but the fictitious name one confused me a little. It says that my name cannot contain a "corporate designator" which I assume is the "LLC" at the end of the name. According to state law only a corporation can use a corporate designator in the name. I'm confused!



So if I drop the LLC part from the name can I still be a LLC? I thought when filing the LLC documents I had to have it in the name but now I am confused. Of course PA has no help line or anything so I am not sure what to do here.
